These Terms and Conditions ("Terms") govern your use of the NatureXpress EUDR compliance platform ("Service") operated by Pratwi Solutions Private Limited ("Company", "we", "us"). By accessing or using the Service, you agree to be bound by these Terms.

These Terms constitute a legally binding agreement. If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

NatureXpress provides a SaaS platform to help Indian agricultural exporters meet the requirements of EU Regulation 2023/1115 (EUDR). The Service includes:

• Bulk farmer data upload and management (CSV import with GPS validation)
• Satellite-based deforestation risk assessment against the Dec 31, 2020 EUDR baseline
• Automated generation of Due Diligence Statements (DDS)
• TRACES NT-compatible XML export ready for direct EU portal submission
• Compliance audit packages (PDF + timestamped evidence bundles)
• Supplier portal for direct farmer GPS collection via mobile
• AI-assisted compliance advisory (Claude — Pro plan and above)

By using the Service, you represent, warrant, and agree that you will:

• Provide accurate, complete, and current information during registration and all subsequent use
• Upload only farmer data for which you hold legal processing authorisation under applicable data protection law
• Obtain informed consent from individual farmers before uploading their personal data
• Maintain the confidentiality of your account credentials and notify us immediately of any unauthorised access
• Verify the accuracy of all GPS coordinates and farm plot data prior to submission
• Review generated compliance documents before submitting them to EU authorities — you retain final legal responsibility
• Use the Service solely for lawful purposes and in compliance with EUDR and applicable Indian regulations
• Not reverse-engineer, decompile, reproduce, or distribute any part of the platform

Payment processing is handled entirely by Razorpay. We do not store card or banking credentials. Accepted methods: credit/debit cards, UPI, net banking.

GST: 18% GST applies to all paid plans per Indian tax regulations. A GST-compliant invoice is issued automatically after each payment.

Pricing changes: We reserve the right to modify pricing with 30 days' advance notice. Active paid subscriptions are grandfathered until the next renewal cycle.

• You retain full ownership of all farmer data, shipment data, and business information uploaded to the platform
• We process your data solely to deliver the Service — we do not sell, license, or share it with third parties for marketing
• All data is stored in Supabase (AWS ap-south-1, Mumbai) with AES-256 encryption at rest and TLS 1.3 in transit
• Row-level security (RLS) enforces strict data isolation — no user can access another organisation's data
• Satellite verification uses publicly available Sentinel-2 geographic datasets — no proprietary farm data is transmitted externally

The Company shall not be liable for:

• Rejection of compliance documents by EU authorities where the underlying data you provided was inaccurate
• Satellite verification outcomes derived from incorrect GPS coordinates or outdated farm plot boundaries
• Business losses, shipment delays, or demurrage costs arising from documentation issues
• Regulatory changes to EUDR that alter compliance requirements after document generation
• Outages attributable to third-party providers (Razorpay, Supabase, Vercel)

Our maximum aggregate liability shall not exceed the total fees paid by you in the three (3) months preceding the claim.

Refunds may be issued within 7 calendar days of purchase where the Service has not been utilised — meaning no documents downloaded, no satellite check run, and no DDS generated.

Once a compliance package has been generated and downloaded, refunds are not available as the deliverable has been fully provided.

The NatureXpress platform — including its software, algorithms, TRACES NT generation logic, satellite verification pipeline, and UI design — is the exclusive intellectual property of Pratwi Solutions Private Limited, protected under Indian and international copyright law.

Compliance documents generated from your data belong to you. The templates, XML schemas, generation methodology, and platform infrastructure remain the property of the Company.

We reserve the right to suspend or terminate your account without notice for material breach of these Terms, fraudulent data upload, or conduct that creates legal risk for the Company or third parties.

You may terminate your account at any time by contacting support@naturexpress.in. Your data will be deleted within 30 days of confirmed termination, subject to statutory retention obligations under Indian accounting law (7 years for transaction records).

These Terms are governed by the laws of India — including the Information Technology Act 2000, the Consumer Protection Act 2019, and the Indian Contract Act 1872. Any disputes shall be subject to the exclusive jurisdiction of the courts in Indore, Madhya Pradesh, India.

For billing disputes or GST-related matters, Indian GST regulations and the Consumer Protection (E-Commerce) Rules 2020 apply. We encourage resolution through direct communication before formal proceedings.
